Terms of Service
These terms form an agreement between you and Arise Corporation Co., Ltd. ("Zentr", "we", "us") governing your use of the Zentr platform, which combines AI chat reply on LINE OA, online queue and appointment booking, CRM and AI insights for service businesses. Zentr acts as a platform that helps facilitate appointments and communication between merchants or freelancers and their own customers; the services themselves are provided by the merchant or freelancer directly (see the platform-role section below). Please read them carefully: by signing up for or using the service, you accept these terms. Read them together with our Privacy Policy, which forms part of this agreement.

Acceptance of these terms
By creating an account, accessing or using any part of the Zentr service, you confirm that you have read, understood and agree to be bound by these terms. If you do not accept them, please stop using the service.
If you use the service on behalf of a company or business, you represent that you have authority to bind that entity to these terms, and "you" includes that entity.
You agree that accepting these terms electronically — such as by clicking to accept or by starting to use the service — is as legally binding as a written signature.
Definitions
- Service — the Zentr platform, website, apps, on-site widgets and APIs we provide, including specialised editions such as Zentr Dental Edition and Zentr Sport Edition.
- Merchant — the shop, service business or freelancer that uses the Zentr platform, and the users under that account. In these terms, "you" refers to that merchant.
- End customer — a person who contacts, books or receives a service from a merchant through Zentr.
- User content — data the merchant imports or creates in the system, such as customer lists, schedules, service menus, prices, images and conversations.
- AI assistant — the features that use language models to help answer chats and move customers toward a booking.
Accounts and registration
- You must be at least 20 years old, or have reached the age of majority under applicable law, and be able to enter into a contract.
- You must provide accurate, current information when registering and keep it up to date.
- You are responsible for keeping your password and login credentials confidential, and for all activity under your account, including the actions of staff or users you authorise.
- If you become aware of any unauthorised use of your account, notify us immediately.
Scope of the service
Zentr helps service businesses and freelancers bring chat handling, queue and appointment booking, CRM and reporting together in one place. It connects to chat channels such as LINE Official Account and creates an online booking page where customers can choose an available time themselves.
We develop and improve the service continuously and may add, change or discontinue features from time to time. Where a material change significantly affects your use, we will give you reasonable notice.
Platform role and merchant responsibility
Zentr is only a facilitating platform for booking, appointments and communication between merchants or freelancers and their own customers, providing chat and booking tools to the merchants who use our platform — clinics, spas, salons, nail studios, freelancers and other service businesses. We are not the provider of the services a merchant or freelancer sells to its end customers, we take no part in those services, and we are not a party to the relationship between the merchant or freelancer and the end customer.
The merchant is solely responsible for its services, goods, quality of work, pricing, appointments, rescheduling or cancellation, refunds to its own customers, and holding the licences and complying with the laws applicable to its business, as well as the content and messages sent to end customers through the system.
We are not liable for any dispute, damage, no-show or loss arising between a merchant and its end customers. If an end customer has a question or wishes to exercise any right over their service or data, they should contact the merchant that provided the service directly.
Acceptable use
You agree not to use the service for any of the following, and to ensure users under your account do the same:
- Acting unlawfully, infringing others' rights, or breaching the terms of connected platforms such as LINE or payment providers
- Sending spam, deceptive messages, or content that is illegal, obscene, harassing or hateful
- Attempting to access systems, data or accounts without authorisation, hacking, or disrupting the service
- Reverse engineering, copying, modifying or reselling the service without our written permission
- Using automated means to scrape data or placing load on the system beyond ordinary use
- Importing other people's personal data without a valid legal basis or consent
Customer data and privacy
For end-customer data you import or store through Zentr, you are the data controller and Zentr is a data processor acting on your instructions. You are responsible for having a valid legal basis to collect and use that data, for informing your customers of your privacy practices, and for obtaining consent where the law requires it.
How we collect, use and protect personal data is set out in our Privacy Policy, which forms part of this agreement. Details of the controller/processor roles, disclosure, transfers and data-subject rights are in that policy.
Third-party services
Zentr works with third-party services such as LINE, Facebook/Instagram (Meta), payment providers like Omise or Stripe, and language model providers. Your use of these is subject to each provider's own terms and policies, which you must also comply with.
We are not liable for any loss or damage arising from the acts, outages, delays, errors, changes in terms, or discontinuation of any third party. Your use of third-party services is at your own risk and under that third party's terms. If a third-party provider stops its service, changes its terms or malfunctions, it may affect certain Zentr features; this is outside our control and is not a breach of these terms by us.
For payments collected from end customers, such as deposits, funds settle directly to your account through the payment provider you connect. Zentr is not a party to those transactions, does not hold funds on your behalf, and takes no commission from those amounts. Disputes, refunds and chargebacks are governed by your payment provider's terms and the agreement between you and your customer.
Limitations of the AI assistant
The AI assistant answers chats and drafts messages automatically, and may be inaccurate, incomplete or out of context. You should configure, review and supervise AI-generated content before it is used, and provide a human handover where judgement is required.
AI responses are not medical, dental, legal, financial or other professional advice. For health-related or regulated businesses, you are responsible for ensuring that what is communicated to customers is accurate and compliant with applicable law and professional standards. You are responsible for the content sent to end customers under your account.
Fees, payment and renewal
- Fees depend on the plan you choose, as shown on the Pricing page or in an agreed quotation — for example the Starter, Growth and Enterprise plans, and the Free / Solo / Plus plans for freelancers.
- Fees are charged in advance for the chosen cycle (monthly or annual) unless stated otherwise. Prices may exclude VAT or other applicable taxes, which are added as required by law.
- Subscription plans renew automatically each cycle until you cancel. You may cancel renewal before the next cycle begins; cancellation takes effect at the end of the cycle already paid for.
- Fees already paid are generally non-refundable. However, for an automatic renewal charge, if you request a refund within 7 days of the date that renewal was charged, we will refund that cycle in full and end the service for that cycle. After 7 days, or for any other payment (such as the first payment or a cycle already used), fees are non-refundable unless the law requires otherwise or we agree in writing.
- We may change fees with reasonable prior notice before the next billing cycle. If you do not wish to continue at the new price, you may cancel before it takes effect.
- If payment is late or fails, we may suspend or limit access to the service until payment is complete.
Free trials
We may offer free trials or a free plan from time to time, provided as-is and possibly with feature or time limits. We may change or withdraw a trial offer. If you do not move to a paid plan at the end of a trial, access to some features or data may be limited as we have notified you.
Intellectual property
The Zentr platform, software, designs, trademarks, logos and website content are the intellectual property of us or our licensors. We grant you a limited, non-exclusive, non-transferable and revocable right to use the service solely for the purposes of this agreement.
User content remains yours. You grant us the rights necessary to store, process and display that content in order to provide the service to you, including processing by the providers we use. You represent that you have the rights to the content you import and that using it does not infringe third-party rights.
If you send feedback or suggestions about the service, we may use them to improve the service without any obligation or payment to you.
Availability and maintenance
We aim to provide the service reliably and continuously, but we do not guarantee it will be uninterrupted or entirely error-free. We may carry out scheduled maintenance, giving advance notice where we can, and there may be emergency interruptions to address security or stability issues.
The service may be affected by matters beyond our control, such as force majeure, outages of third-party providers or networks, or the systems of connected platforms.
Suspension and termination
You may cancel the service and close your account by the means we provide. We may suspend or terminate your access to the service, in whole or in part, if:
- You materially breach these terms or applicable law
- Fees are overdue
- Your use creates a security or legal risk, or affects other users or third-party providers
Wherever possible, we will give notice and an opportunity to remedy first, except in urgent cases or where the law requires otherwise. When an account ends, access to the service stops, and data is retained or deleted as described in our Privacy Policy. You should export any data you wish to keep before closing your account.
Disclaimer of warranties
The service is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, express or implied, that the service will be error-free, uninterrupted, completely secure, or fit for your particular purpose. You are responsible for assessing whether the service suits your business.
Limitation of liability
To the maximum extent permitted by law, Zentr is not liable for any indirect, consequential, special or punitive damages, including loss of profit, revenue, business opportunity, goodwill or data, arising from your use of or inability to use the service.
Our total aggregate liability to you in connection with the service, whether in contract, tort or otherwise, and whether arising from one claim or several claims combined, will not exceed the amount of fees you actually paid us in the three months before the event giving rise to the liability. The limitations and disclaimers in these terms apply to Zentr as well as to our providers and licensors.
Nothing in this section excludes or limits liability that the law does not permit to be limited, such as for wilful misconduct or gross negligence.
Indemnification
You agree to indemnify and defend Zentr and our directors, employees and agents against claims, damages or costs (including reasonable legal fees) arising from your breach of these terms or the law, your use of customer data without a legal basis, or disputes between you and your end customers.
Changes to these terms
We may update these terms from time to time. Where changes are material, we will give notice by email or in-product at least 30 days before they take effect. Continuing to use the service after the updated terms take effect means you accept them. The last updated date appears at the top of this page.
